Terms and Conditions for Opening Banking, Financial Institutions, and EMI Accounts

1. Introduction
These Terms and Conditions (the “Agreement”) govern the use of services provided by S-COUNTS (Private) Limited, doing business as Scounts or Scounts.pk (“we,” “us,” or “our”), incorporated in Pakistan with corporate unique identification number 0227715. We offer services related to facilitating the creation of accounts with electronic money institutions (EMIs) and financial service providers (e.g., Payoneer, Wise, Revolut, TransferWise, and others) based on your instructions. By using our services, you (“Client” or “you”) agree to be bound by these terms.

2. Scope of Services
We specialize in facilitating the creation of accounts for clients owning US LLCs based in Pakistan. Our services involve assisting with the creation of accounts with third-party EMIs and financial service providers such as Payoneer, Wise, Revolut, TransferWise, and others, but we do not have direct contracts or agreements with these institutions. We do not own or operate any financial licenses related to providing these services. Our role is limited to providing facilitation services, which may include working with third-party service providers to complete the required tasks on your behalf.

3. Communication Channels
Our primary communication channels are Email and WhatsApp. All official invoices and other service-related communications are typically shared with clients via WhatsApp. By using our services, you agree to communicate with us through these platforms for all related matters.

4. Use of Third-Party Service Providers
We may outsource certain services to third-party service providers, both within Pakistan and internationally, including formation service providers, accountants, or legal experts, as needed to facilitate your account creation. In such cases, we may share some or all of your personal information with these third-party providers to ensure the completion of the services. By using our services, you consent to the sharing of your information with these third parties, as necessary, for the provision of the services.

5. Third-Party Financial Institutions
Our services involve third-party financial institutions, including but not limited to Payoneer, Wise, Revolut, TransferWise, and others. These institutions are independent entities, and we have no direct relationship, contract, or agreement with them. You acknowledge that we are only providing facilitation services, and it is solely your responsibility to check and evaluate the processes and terms for any irregularities or issues once the work is delivered. S-COUNTS (Private) Limited (operating as Scounts or Scounts.pk) is not responsible for any account suspensions, limitations, or changes in terms imposed by these third-party services.

6. Support Period for Third-Party Accounts
We will provide support for issues related to third-party accounts for a period of 14 days after the creation of your account with the third-party service provider. After the 14-day period, we will no longer assist with or process any issues related to these third-party accounts, including but not limited to account suspensions, limitations, or issues arising from third-party policies.

7. Outsourced Services and Liability
For services that are fully or partially outsourced to third-party providers (e.g., formation services, legal services, etc.), S-COUNTS (Private) Limited (operating as Scounts or Scounts.pk) will not be responsible for any issues, delays, or complaints after 7 days from the delivery of such services. It is your responsibility to ensure that the outsourced service is completed to your satisfaction within the specified period. After 7 days, we will have no further responsibility for the outsourced services.

8. Client’s Responsibility to Inquire
It is your responsibility to ask any questions or seek clarification about our services before making any payments. Once the invoice is paid, it will be understood that you agree to these Terms and Conditions in full. S-COUNTS (Private) Limited (operating as Scounts or Scounts.pk) assumes no responsibility for any misunderstandings, claims, or disputes that arise after the payment of the invoice. Furthermore, it is solely the client’s responsibility to check and evaluate the process for any irregularities once the service is delivered.

9. Changes to Services or Terms
We reserve the right to update, modify, or change our services and/or these Terms and Conditions at any time. Any changes will be communicated to you, and continued use of our services following such changes will constitute acceptance of the updated terms. It is your responsibility to periodically review these Terms and Conditions for any changes.

10. Limitation of Liability
You agree that S-COUNTS (Private) Limited (operating as Scounts or Scounts.pk) is not liable for any losses, damages, or expenses incurred due to the actions, decisions, or policies of third-party service providers, including but not limited to account suspension, account limitations, or other changes to third-party terms. S-COUNTS (Private) Limited will not be held responsible for any indirect, incidental, or consequential damages arising from the use or failure of any third-party services. Additionally, you acknowledge that it is your responsibility to evaluate the processes provided by third-party service providers for any irregularities or issues once the service has been delivered.

11. Client’s Acknowledgement
By accepting these terms and proceeding with payment, you acknowledge that you have read, understood, and agreed to the full content of these Terms and Conditions, including the clauses regarding third-party services, outsourced services, and limitations of liability. Any further use of our services will constitute acceptance of these terms.

12. Governing Law and Jurisdiction
These Terms and Conditions shall be governed by and construed in accordance with the laws of Pakistan. Any disputes arising under or in connection with these terms shall be subject to the exclusive jurisdiction of the courts of Pakistan.

13. Privacy and Data Protection
We are committed to protecting your privacy and ensuring the confidentiality of your personal data. Your personal information will be handled in accordance with our Privacy Policy, which can be reviewed separately. You agree to provide accurate and complete information when using our services and acknowledge that any failure to do so may result in a delay or failure in providing the requested services.

14. Fees and Payments
The fees for our services will be outlined in the invoice provided to you. You agree to pay all applicable fees for the services rendered. Once an invoice is paid, you understand that the payment constitutes an agreement to the services and these Terms and Conditions. All payments are non-refundable once the service has been initiated.

15. Termination of Services
We reserve the right to terminate or suspend services at any time if we determine that you have violated these Terms and Conditions or if we are unable to provide the services due to circumstances beyond our control. In such cases, no refunds will be provided.

16. Force Majeure
S-COUNTS (Private) Limited (operating as Scounts or Scounts.pk) will not be held liable for any failure or delay in the performance of its obligations under this Agreement due to events beyond our reasonable control, including but not limited to natural disasters, strikes, pandemics, or other force majeure events.

17. Entire Agreement
These Terms and Conditions constitute the entire agreement between you and S-COUNTS (Private) Limited (operating as Scounts or Scounts.pk) with respect to the use of our services. Any previous agreements or understandings, whether written or oral, are superseded by this Agreement.


By making a payment for our services, you agree to the terms laid out in this detailed agreement. If you have any questions or concerns, it is your responsibility to contact us prior to making payment.
